This Agreement constitutes a binding legal contract between you (“Client”) and Pro Print Hub (“Contractor”).
1. Services
Pro Print Hub will perform printer-related support services as requested. We may delegate tasks to our technical staff without prior notice.
2. Term and Payment
Services are prepaid. Monthly plans renew automatically unless cancelled in advance. Unused time does not roll over.
Refunds: Full refund available within 10 days of purchase. If services were used, partial refund minus service hours is available.
Dissatisfaction: If unhappy with work quality, request a refund within 30 days.
3. Client Responsibility & Indemnity
You’re responsible for supervising how services are performed.
Any access you provide to your accounts is at your own risk.
We are not liable for copyright violations in content you request unless due to our gross negligence.
Services must not be used for illegal activity.
You agree to indemnify Pro Print Hub and its staff against any liability from your directions or supervision.
4. Confidentiality
Both parties agree to protect confidential information using reasonable care. This includes business data, strategies, customer details, and proprietary tools.
Information will not be shared or copied without written consent, unless required by law. Confidentiality obligations continue even after termination of this agreement.
5. Non-Solicitation & Liquidated Damages
You agree not to solicit or hire our staff directly. Breach of this clause results in a $25,000 liquidated damages fee payable within 5 days of notification.
6. Warranties
Each party affirms they have the authority to enter this agreement and that it does not conflict with any existing agreements.
7. Limitation of Liability
Our liability is limited to the total service fees paid in the last 12 months. We are not liable for indirect or consequential damages.
8. Independent Contractor
Pro Print Hub operates as an independent contractor. You are not responsible for our employment benefits, taxes, or other liabilities.
9. Governing Law
This Agreement is governed by the laws of New Delhi, India.
10. Notices
All notices must be in writing and may be sent via mail, courier, email, or fax. Notice is deemed given when received.
11. Entire Agreement
This document is the complete and final agreement. Any prior discussions or agreements are void.
12. Severability
If any part of this Agreement is deemed invalid or unenforceable, the remaining provisions shall still apply.
